Abstract:

We will discuss a Sarbanes-Oxley compliance strategy that will afford the opportunity to realize substantial benefits for other corporate constituencies and functions (e.g., boards, investors, and senior management). Provisions of S-O Section 302 and key elements of common compliance plans will be reviewed. We will then address the use of Six Sigma and related techniques from economics, finance, and operations management to identify opportunity areas to be addressed in conjunction with S-O compliance and to implement advanced financial monitoring capabilities. These practices provide a substantially new approach to establishing, certifying, and maintaining Disclosure Controls and Procedures that comply with Sarbanes-Oxley Section 302. By deriving structural relationships among key financial measures and economic indicators, one can selectively define monitoring systems to detect malfeasance.
